1. Introduction

These Terms and Conditions set out the basis on which Signature Flatbreads Ltd, trading as Earth & Wheat, supplies products and subscription services through its website. They also govern your access to and use of the website.
Please read these Terms carefully before using the website, creating an account, placing an order or subscribing to any of our services. By using the website, placing an order or subscribing to a service, you confirm that you accept these Terms and agree to be bound by them.

Earth & Wheat is a trading name of Signature Flatbreads Ltd, a company registered in England and Wales under company number 09358440.
Our registered office is: Unit C, Chiltern Park Estate, Dunstable, LU5 4LT.
In these Terms, references to “Earth & Wheat”, “we”, “us” or “our” mean Signature Flatbreads Ltd trading as Earth & Wheat. References to “you” or “your” mean the customer, website user or subscriber purchasing products or using the website.
1.3 The website
These Terms apply to the website located at www.earthandwheat.com, together with any customer account, subscription portal, checkout facility or related online function made available through that website.
The website is intended for use by customers located in the United Kingdom and within the delivery areas made available by us from time to time.
1.4 Relationship with other policies
These Terms should be read alongside our Privacy Notice and Cookie Policy. The Privacy Notice explains how we collect, use and protect personal data. The Cookie Policy explains how cookies and similar technologies are used on the website.
Where you purchase products or subscribe to services through the website, the Privacy Notice and Cookie Policy form part of the wider information provided to you about your relationship with us.
1.5 Changes to these Terms
We may update these Terms from time to time to reflect changes in law, regulatory requirements, our business model, our products, our services, website functionality, payment arrangements or delivery processes.
The version of these Terms in force at the time you place an order will apply to that order. Where you hold an ongoing subscription, updated Terms may apply to future subscription cycles once they have been published on the website or otherwise brought to your attention.

2. Definitions and Interpretation
2.1 Definitions
In these Terms, the following expressions have the meanings set out below unless the context requires otherwise.
Account means a customer account created through the website.
Business Day means a day other than a Saturday, Sunday or public holiday in England.
Contract means the legally binding contract formed between you and us for the purchase of Products or Services in accordance with these Terms.
Customer means the person placing an order, subscribing to a Service or using the Website.
Delivery Area means the geographical area to which we deliver Products, as stated on the Website from time to time.
Order means an order submitted by you through the Website for Products or Services.
Products means the products supplied by Earth & Wheat through the Website, including food products, bakery products, surplus, rescued, wonky or variable food items, and any other products made available for purchase.
Services means any subscription service, account service or other online service made available through the Website.
Subscription means a recurring arrangement under which Products are supplied at intervals selected by you or otherwise made available through the Website.
Website means the Earth & Wheat website at www.earthandwheat.com, including any customer portal, account area, checkout page or subscription management function.
2.2 Interpretation
References to legislation include that legislation as amended, extended, re-enacted or replaced from time to time.
Headings are included for ease of reference only and do not affect the interpretation of these Terms.
Words in the singular include the plural and words in the plural include the singular.
3. Eligibility to Use the Website and Purchase Products
3.1 Age and capacity
You may only place an Order or subscribe to a Service if you are at least 18 years old and legally capable of entering into a binding contract.
By placing an Order, you confirm that you meet these requirements.
3.2 Accuracy of information
You are responsible for ensuring that all information provided to us is accurate, current and complete. This includes your name, email address, billing address, delivery address, telephone number, delivery instructions, payment information and subscription preferences.
We shall not be responsible for delay, failed delivery, incorrect delivery or other issues arising from inaccurate, incomplete or outdated information provided by you.
3.3 Delivery area
You may only place an Order where delivery is available to your address. Delivery areas may change from time to time and certain postcodes or locations may be excluded.
Where an Order is placed for an address outside our Delivery Area, we may cancel the Order and refund any payment received.

4. Customer Accounts
4.1 Account creation
Certain features of the Website may require you to create an Account. This may include managing Orders, managing Subscriptions, changing delivery details, updating payment information or reviewing previous purchases.
You must provide accurate information when creating an Account and must keep your Account details up to date.
4.2 Account security
You are responsible for maintaining the confidentiality of your login details and for all activity carried out through your Account.
You must notify us promptly if you believe your Account has been accessed without authorisation or if your login details have been compromised.
4.3 Suspension or closure of Accounts
We may suspend or close an Account where we reasonably believe that the Account has been used fraudulently, unlawfully, in breach of these Terms, in connection with misuse of promotions, or in a manner that may harm our business, other customers or the operation of the Website.
Where appropriate, we will take reasonable steps to notify you.
5. Orders and Contract Formation
5.1 Display of Products
The display of Products on the Website is an invitation for you to place an Order and does not constitute an offer by us to sell those Products.
We may withdraw, amend or replace Products at any time before a Contract is formed.
5.2 Placing an Order
When you place an Order through the Website, you are making an offer to purchase the selected Products or Services in accordance with these Terms.
You are responsible for checking your Order before submission, including the Products selected, quantity, frequency, delivery address, payment details and any Subscription arrangements.
5.3 Order acknowledgement
After you place an Order, we may send an acknowledgement confirming that we have received it. This acknowledgement does not constitute acceptance of your Order.
5.4 Acceptance of Order
A Contract between you and us is formed only when we dispatch the relevant Products or otherwise confirm acceptance of your Order.
Until that point, we reserve the right to decline or cancel an Order for any lawful reason, including where Products are unavailable, payment cannot be authorised, a pricing error has occurred, delivery is not available, or we reasonably suspect fraud, misuse or breach of these Terms.
5.5 Order changes
If you need to amend an Order after submission, you should contact us as soon as possible. We will try to assist where reasonably practicable, but changes cannot be guaranteed once an Order has entered processing, fulfilment or dispatch.
6. Products and Product Information
6.1 Nature of the Products
Earth & Wheat supplies food products, including surplus, rescued, wonky and variable bakery products. Due to the nature of this model, Products may vary between Orders.
Variations may include differences in size, shape, weight, appearance, packaging, assortment, branding, quantity or composition. Such variation is an inherent part of the Earth & Wheat supply model and does not, of itself, mean that the Products are defective or not as described.
6.2 Product descriptions and images
We take reasonable care to ensure that Product descriptions, images and information on the Website are accurate. However, images are provided for illustrative purposes only and Products may differ from the images shown.
Where a particular characteristic of a Product is material to your decision to purchase, you should review the Product information carefully before placing an Order.

6.3 Availability and substitution
All Products are subject to availability.
Where a Product or item within a box is unavailable, we may provide a reasonable substitute of similar nature, type or value, provided this is appropriate having regard to the Product ordered and any information provided at the point of sale.
Where no suitable substitute is available, we may cancel the affected Product or Order and provide an appropriate refund.
6.4 Product quality
We warrant that Products supplied to consumers will comply with applicable consumer protection requirements and will be as described, of satisfactory quality and fit for the ordinary purposes for which products of that nature are supplied.
Because many Products are surplus, rescued or variable items, the assessment of quality must take into account the description of the Product, the nature of the Earth & Wheat model and the information made available to you before purchase.
6.5 Food safety
We take food safety seriously and will take reasonable steps to ensure Products comply with applicable food safety requirements.
You must follow any storage, preparation, freezing, cooking, reheating, consumption or use-by instructions provided on Product packaging, inserts or on the Website.
6.6 Allergens and ingredients
Ingredient and allergen information will be provided on packaging and may also be made available through the Website or other customer information channels.
You are responsible for checking ingredient and allergen information before consuming any Product or providing a Product to another person.
If you or anyone consuming the Products has an allergy, intolerance or dietary requirement, you should review all relevant information carefully before consumption. If you are uncertain whether a Product is suitable, you should not consume it and should contact us for further information.
6.7 Third-party supplier information
Some Products may include ingredients or goods supplied by third parties. We may rely on information provided by those suppliers, including ingredient, allergen and labelling information.
This does not exclude or restrict any responsibility we may have under applicable law.
7. Subscription Services
7.1 Nature of Subscriptions
Where you subscribe to a recurring Service, you enter into an ongoing arrangement under which Products will be supplied at the frequency selected by you or otherwise stated during the subscription process.
The Subscription will continue until cancelled by you or terminated by us in accordance with these Terms.
7.2 Subscription information
Before you subscribe, the Website should make available the key information relating to your Subscription, including the Products or box type selected, the price, payment frequency, renewal details, delivery frequency and any relevant cancellation or cut-off arrangements.
You are responsible for checking that Subscription information before completing the subscription process.
7.3 Recurring payments
By subscribing, you authorise us and our payment providers to collect recurring payments from your nominated payment method at the applicable frequency.
Each successful renewal will constitute a new Order under the existing Subscription arrangement and will be subject to these Terms.
7.4 Subscription management
You may manage your Subscription through your Account, where this functionality is available. This may include pausing, amending, skipping or cancelling future deliveries.
Changes must be made before the applicable processing deadline or cut-off point shown on the Website, within your Account or otherwise communicated to you.
7.5 Cancellation of Subscriptions
You may cancel your Subscription at any time. Cancellation will prevent future recurring payments and future deliveries following the effective cancellation date.
Cancellation will not affect any Order that has already entered processing, fulfilment or dispatch before the cancellation takes effect.
7.6 Processing deadlines
Due to the operational nature of our fulfilment process and the fact that many Products are perishable food products, Orders may enter processing shortly after payment or renewal.
Once an Order has entered processing, cancellation may no longer be possible and the relevant charge may still apply.
7.7 Changes to Subscriptions
We may make changes to the Subscription model, box contents, delivery frequency options, pricing, fulfilment arrangements or other operational aspects of the Service where reasonably necessary.
Where changes materially affect an ongoing Subscription, we will take reasonable steps to provide notice before the change takes effect.
7.8 Suspension or termination by us
We may suspend or terminate a Subscription where reasonably necessary, including where payment fails, where there is suspected fraud, misuse of discount or referral schemes, breach of these Terms, abuse of the Service, or where we are unable to continue supplying the relevant Products or Delivery Area.
Where appropriate, we will provide reasonable notice.
8. Prices, Payment and Failed Payments
8.1 Prices
Prices are shown on the Website in pounds sterling and include VAT where applicable unless stated otherwise.
Delivery charges, if applicable, will be displayed before checkout.
8.2 Pricing errors
We take reasonable care to ensure that prices are correct. However, pricing errors may occur.
Where an obvious and unmistakeable pricing error has occurred, we are not obliged to supply Products at the incorrect price. We may cancel the Order and refund any payment received.
8.3 Price changes
We may change prices from time to time.
Price changes will not affect Orders already accepted by us. Where a price change affects an ongoing Subscription, we will take reasonable steps to notify you before the change applies to future Subscription cycles.
8.4 Payment methods
Payment must be made using one of the payment methods made available on the Website.
Payments are processed by third-party payment providers. We do not store your full debit or credit card details on our own systems.
8.5 Payment authorisation
By submitting payment details, you confirm that you are authorised to use the relevant payment method.
We may decline or cancel an Order where payment authorisation cannot be obtained.
8.6 Failed payments
If payment fails, we may attempt to process payment again using the payment method associated with your Account or Subscription.
Where Products have already been dispatched or delivered, you remain liable to pay the relevant price.
8.7 Recovery of unpaid amounts
Where payment remains outstanding, we may contact you by email, telephone, text message or post to request payment. We may also suspend your Account or Subscription until payment is made.
If payment remains unpaid, we may take reasonable steps to recover the debt, including instructing a third-party debt recovery provider. Any recovery costs charged to you must be reasonable and lawfully recoverable.
9. Delivery
9.1 Delivery areas
We deliver only to the locations and postcodes made available through the Website.
Delivery availability may change from time to time. Certain geographical areas may be excluded, including areas where courier arrangements, operational requirements or Product perishability make delivery impracticable.
9.2 Delivery estimates
Any delivery dates, delivery windows or estimated times communicated through the Website, by email, SMS, courier notification or otherwise are provided for guidance only and do not constitute a contractual guarantee.
We will use reasonable endeavours to deliver within the indicated timeframe, but delivery may be affected by factors outside our reasonable control, including courier delay, weather conditions, traffic disruption, operational issues, supplier issues, high demand or other events affecting fulfilment.
9.3 Delivery address
You are responsible for providing a complete and accurate delivery address.
We are not responsible for failed or delayed delivery caused by inaccurate, incomplete or outdated delivery information provided by you.
9.4 Delivery instructions
You may provide delivery instructions during the ordering process or through your Account, where available.
We and our delivery partners will take reasonable steps to follow delivery instructions, but we cannot guarantee that all instructions will be followed in every case.
9.5 Safe place deliveries
Where you instruct us or our delivery partner to leave Products in a safe place, or where delivery is completed in accordance with your instructions, delivery shall be deemed completed when the Products are left in that location.
You are responsible for ensuring that any nominated safe place is suitable, accessible and secure, particularly given that Products may be perishable.
9.6 Delivery to neighbours
Where personal delivery to you is not possible, and where appropriate, our delivery partner may leave Products with a neighbour or nearby household or business.
Where this occurs, you may be notified by delivery note, email, SMS or courier tracking information.
9.7 Failed deliveries
Where delivery cannot be completed because you have provided an incorrect address, failed to provide adequate instructions, failed to make delivery possible or refused delivery without lawful reason, we may not be able to re-deliver due to the perishable nature of the Products.
In such circumstances, you may remain responsible for the cost of the Order unless otherwise required by law.
10. Risk and Ownership
10.1 Passing of risk
Risk in the Products passes to you when delivery is completed.
Delivery is completed when Products are handed to you, left at the delivery address, left in accordance with your instructions, delivered to a neighbour where appropriate, or otherwise delivered in accordance with the arrangements set out in these Terms.
10.2 Ownership
Ownership of the Products passes to you when we have received payment in full.
10.3 Product condition after delivery
Once risk has passed to you, you are responsible for ensuring that Products are promptly collected, brought inside, stored correctly and handled in accordance with any instructions.
We shall not be responsible for deterioration, loss, spoilage or damage arising after delivery where this results from delay in collection, unsuitable storage, exposure to weather, interference by third parties, animals or pests, or failure to follow storage or handling instructions.
11. Consumer Rights, Cancellation and Perishable Products
11.1 Statutory rights
If you are purchasing Products as a consumer, you have statutory rights under UK consumer law. Nothing in these Terms affects those statutory rights.
Products supplied to consumers must be as described, of satisfactory quality and fit for purpose.

11.2 Distance selling cancellation rights
Consumers purchasing goods online may in some circumstances have a right to cancel within 14 days.
However, that cancellation right does not apply to certain types of goods, including goods which are liable to deteriorate or expire rapidly.
11.3 Perishable food products
Many Products supplied by Earth & Wheat are fresh or perishable food products. As such, the usual 14-day cancellation right will generally not apply once an Order has been accepted, prepared, processed or dispatched.
This clause does not affect your rights where Products are faulty, unsafe, not as described or otherwise fail to meet statutory requirements.
11.4 Subscription cancellation
You may cancel future Subscription cycles in accordance with clause 7.
Cancellation of a Subscription will not cancel or refund any Order already processed, fulfilled or dispatched before cancellation takes effect, unless required by law or agreed by us.
12. Faulty, Damaged, Missing or Incorrect Products
12.1 Inspection on delivery
You should inspect Products as soon as reasonably possible after delivery.
If any Product is damaged, missing, unsafe, materially different from its description or otherwise not supplied as it should have been, you should contact us promptly.
12.2 Evidence
We may ask you to provide reasonable information to help us investigate the issue. This may include your Order number, photographs, packaging details, delivery information and a description of the problem.
12.3 Remedies
Where an issue is confirmed, we will provide an appropriate remedy in accordance with your statutory rights and the circumstances of the case.
This may include replacement, refund, partial refund, account credit or another suitable remedy.
12.4 No exclusion of legal rights
Nothing in this section excludes or restricts any rights you may have under applicable consumer protection law.
